Individuals who worked for Box Inc. as a nonexempt employee or an outbound business representative in the United States during specific periods between April 1, 2019, and May 15, 2025, may be eligible to claim a cash payment from a class action settlement.

Box Inc. agreed to pay $670,000 to settle a class action lawsuit alleging violations of federal and state wage-and-hour laws. The plaintiff claimed the company failed to pay overtime based on a regular rate that included the value of restricted sock unit awards, and for OBRs, failed to pay all hours worked.

Who can file a claim?

The following individuals are eligible to file a claim:

  • Current or former nonexempt classified employees and OBRs (however titled) who worked for Box Inc. in the United States during these periods:
    • April 1, 2019, to May 15, 2025, in New York or New Jersey
    • April 1, 2021, to May 15, 2025, in California
    • April 1, 2022, to May 15, 2025, in all other U.S. states

The settlement divides class members into two main groups:

  • Nonexempt employees: Hourly, nonexempt employees (other than OBRs) whom Box allegedly did not pay overtime at the correct rate because it did not include RSU awards in the regular rate of pay
  • Outbound business representatives: Employees whom Box allegedly did not pay for all hours worked and whom it also did not include RSU awards in the regular rate for overtime calculations

How much can class members get?

The total settlement fund is $670,000. The amount each class member will receive depends on several factors, including the number of weeks they worked during the relevant period and whether they classify as an NEE or OBR.

Each eligible claimant receives “points” based on their work history:

  • One point for each week worked as an NEE
  • Nine points for each week worked as an OBR

The settlement administrator will total the points of all claimants to get the “total denominator.” It will then divide each individual’s points by the total denominator to determine their share of the net fund. The settlement administrator will multiply each individual’s share by the net fund to determine their “potential gross settlement payment.”

The administrator will treat half of the payments as wages (subject to payroll tax withholding and reported on IRS Form W-2) and half as nonwage income (reported on IRS Form 1099).

How to claim a settlement payment

Class members can file a claim online or download, print and complete the PDF OBR claim form or PDF NEE claim form to submit by mail to the settlement administrator. The claim deadline is May 11, 2026.

When is the Box Inc. settlement payout date?

The class action lawsuit alleged Box Inc. violated wage-and-hour laws by not properly paying overtime and failing to include the value of RSUs in the regular rate of pay for certain employees.
