Marqeta $13 Million Securities Class Action Settlement
Marqeta $13 Million Securities Class Action Settlement

Investors who purchased or otherwise acquired Marqeta Inc. Class A common stock or call options or wrote Marqeta put options between Feb. 28, 2024, and Nov. 4, 2024, may be eligible to claim a cash payment from a class action settlement.

Marqeta Inc., Simon Khalaf and Michael Milotich agreed to pay $13 million to settle a securities class action lawsuit alleging they misled investors about how quickly Marqeta could launch new programs and the strength of its regulatory compliance capabilities.

Who can file a claim?

The settlement includes all persons and entities who purchased or otherwise acquired publicly traded Marqeta Inc. Class A common stock, purchased call options on that stock or wrote put options on it between Feb. 28, 2024, and Nov. 4, 2024, inclusive, and suffered damages as a result.

Additional details

  • Both individuals and entities can be class members.
  • Joint owners must each sign the claim form.
  • Agents, executors, administrators, guardians and trustees may submit claims on behalf of others and must provide proof of authority.
  • Each separate legal entity must submit one claim covering all of its accounts.
  • Participants in Employee Retirement Income Security Act of 1974 retirement plans should include only Marqeta securities bought outside the plan.

How much can class members get?

The total settlement fund is $13,000,000. The amount each class member will receive depends on several factors:

  • The number of valid claims submitted
  • The number and type of Marqeta securities purchased, acquired or written
  • The timing of each purchase and sale
  • The total recognized claims of all claimants

The settlement administrator will distribute payments on a pro rata basis according to the court-approved plan of allocation:

  • The estimated average recovery is about $0.14 per eligible security before deductions. After estimated attorneys’ fees and expenses of about $0.04, the estimated average recovery is about $0.11.
  • Actual payments may be higher or lower depending on individual claims and the total number of valid claims.
  • The settlement administrator will calculate a recognized loss for each Marqeta security class members bought or wrote during the class period using the court-approved plan of allocation:
    • Alleged artificial inflation is $2.67 per share during the class period.
    • Shares sold, call options not held and put options not open as of the close of trading on Nov. 4, 2024, have no recognized loss.
    • For shares sold from Nov. 5, 2024, through Jan. 31, 2025, the recognized loss is the least of $2.67, the purchase price minus the sale price or the purchase price minus the 90-day lookback value on the sale date (Table 2 of Page 12 of the settlement notice).
    • For shares held as of the close of trading on Jan. 31, 2025, the recognized loss is the lesser of $2.67 or the purchase price minus $3.84, the average closing price during the 90-day lookback period.
    • For call options held at the close of trading on Nov. 4, 2024, the recognized loss is the purchase price minus the option's intrinsic value on Nov. 5, 2024, which is the greater of zero or $3.42 minus the strike price.
    • For put options written and still open at the close of trading on Nov. 4, 2024, the recognized loss is the option's intrinsic value on Nov. 5, 2024, minus the sale price. Intrinsic value is the greater of zero or the strike price minus $3.42.
  • Payments for call and put options are limited to 1% of the fund.
  • Claimants with an overall market gain on their class-period Marqeta trades will have a recognized claim of zero. Recognized claims cannot exceed a claimant's actual market loss.
  • The settlement administrator will set any recognized loss that calculates to a negative number to zero.
  • If total recognized claims exceed the fund, the settlement administrator will reduce payments on a pro rata basis.
  • Class members whose payment would be less than $10 will not receive a payout.

Why did this class action settlement happen?

The class action lawsuit alleged Marqeta and two individual defendants made false and misleading statements about how quickly the company could launch new programs and the strength of its regulatory compliance capabilities. The plaintiff claimed these statements artificially inflated Marqeta's stock price, which fell when investors learned the truth.

The defendants denied all allegations of wrongdoing but agreed to settle to eliminate the uncertainty, burden and expense of further litigation.
