Consumers who purchased CareDx Inc. common stock between May 1, 2020, and Nov. 3, 2022, and suffered damages may qualify to claim a cash payment from a class action settlement.

CareDx Inc. agreed to pay $20.25 million to settle a class action lawsuit alleging violations of federal securities laws. The lawsuit claimed CareDx and certain executives made material misrepresentations and omissions about compliance with laws and revenue disclosures, which allegedly caused the company’s stock price to artificially inflate.

Who can file a CareDx claim?

The class consists of anyone who purchased CareDx Inc. common stock between May 1, 2020, and Nov. 3, 2022, and suffered damages as a result. This includes both individuals and entities, such as:

  • Investors who bought CareDx common stock directly or through a brokerage account
  • Joint owners, estates, trusts and other legal entities (the beneficial owner or their legal representative must submit the claim)
  • Executors, administrators, guardians and trustees (must include proof of authority)

How much can class members receive?

Pro rata payment: The total settlement fund is $20.25 million. The actual amount each class member receives depends on:

  • The number of valid claims submitted
  • The number of shares the class member purchased and sold and the timing of those transactions
  • The total recognized losses of all claimants

The estimated average recovery is $0.32 per damaged share before deductions for fees and expenses and $0.10 per damaged share after.

How is the award calculated?

  • If class members sold their shares before Oct. 29, 2021, their recognized loss is $0.
  • If class members sold their shares between Oct. 29, 2021, and Nov. 3, 2022, their recognized loss is the lesser of:
    • The difference in artificial inflation per share on the purchase and sale date (see Table A in the class notice)
    • The purchase price minus the sale price
  • If class members sold their shares between Nov. 4, 2022, and Feb. 1, 2023, their recognized loss is the lesser of:
    • The artificial inflation on the purchase date
    • The purchase price minus the average closing price between Nov. 4, 2022, and the sale date (see Table B in the class notice)
    • The purchase price minus the sale price
  • If class members held their shares as of Feb. 1, 2023, their recognized loss is the lesser of:
    • The artificial inflation on the purchase date
    • The purchase price minus $13.21

If the class member's calculated award is less than $10, they will not receive a payment.

How to claim a class action rebate

Class members can file a claim online or download, print, complete and mail the PDF claim form to the settlement administrator. The claim deadline is Nov. 12, 2025.

Class members who have multiple accounts must submit a separate claim form for each.

Is proof/documentation required to submit a claim?

Class members must provide:

  • The last four digits of their Social Security or taxpayer identification number
  • Their account number
  • The account type

They must also must submit documentation for all transactions and holdings of CareDx common stock during the class period. Acceptable documentation includes:

  • Brokerage confirmation slips
  • Monthly brokerage account statements
  • Authorized statements from a broker showing transaction details
  • Documentation showing shares held at the start and end of the class period

Executors or representatives must include proof of authority.

$20.25 million settlement fund

The $20,250,000 settlement fund includes:

  • Notice and administration costs: To be determined
  • Attorneys’ fees: Up to $6,075,000
  • Attorneys’ expenses: Up to $450,000
  • Service awards to lead plaintiffs: Up to $7,500 each
  • Payments to eligible class members: The remainder of the fund

Important dates

  • Deadline to for exclusion: Oct. 14, 2025
  • Deadline to file a claim: Nov. 12, 2025
  • Fairness hearing: Dec. 2, 2025

When is the CareDx securities litigation payout date?

The settlement administrator will distribute settlement payments after the court grants final approval of the settlement and resolves any appeals.

Why is there a class action settlement?

The class action lawsuit alleged CareDx Inc. and certain executives made material misrepresentations and omissions regarding compliance with law statements and revenue disclosures, which allegedly caused the price of CareDx common stock to artificially inflate.

The parties agreed to settle to avoid the expense, risk and uncertainty of further litigation. The defendants deny any wrongdoing or liability but agreed to the settlement to resolve the claims.
