Nonexempt employees who worked for an Ardent Health entity between Dec. 11, 2021, and Feb. 17, 2022, and who tracked their time using Kronos Private Cloud, or would have but could not due to the Kronos outage, may be eligible to claim a cash payment for unpaid overtime from a class action settlement.
AHS Management Inc. and BSA Health System Management LLC, collectively referred to as Ardent Health, agreed to pay $2.9 million to settle a lawsuit alleging it did not pay employees properly or on time due to a Kronos system outage that disrupted payroll and timekeeping. The settlement resolved claims under the Fair Labor Standards Act.
Who are the class members?
Class members are individuals whom an Ardent Health entity employed as a nonexempt hourly employee from Dec. 11, 2021, to Feb. 17, 2022, and who were unable to track their working time due to the Kronos outage. The settlement administrator will determine eligibility based on Ardent’s employment records. If an individual received a settlement notice, the administrator already identified them as a potential class member.
How much can class members get?
Each class member’s settlement payment is a proportional share of the overall settlement fund. The settlement administrator will calculate the amount using a formula that considers the number of hours the class member worked for Ardent during the Kronos outage period. The settlement divides the payment into two parts:
- 25% as wages subject to tax withholdings and reported on IRS Form W-2
- 75% as liquidated damages not subject to withholdings and reported on IRS Form 1099.
The actual amount each person receives depends on the number of hours they worked during the Kronos outage and the total number of participating claimants. The settlement notices include each class member's estimated payment amount.

Eligible class members must submit an online consent-to-join form or complete and return the paper consent-to-join form they received with their class notice to the settlement administrator by mail or email.

Why is there a class action settlement?
The class action lawsuit alleged Ardent Health entities failed to pay employees properly or on time after a Kronos Private Cloud outage disrupted payroll and timekeeping systems. It claimed employees may have experienced late or unpaid wages, including overtime.
Ardent denied any wrongdoing but agreed to settle the lawsuit to avoid further litigation.
